This is the standard wording. Your own share is named in the schedule attached to your copy — it is the one number that differs from partner to partner.
You put Bookend in front of the people already coming to you, Bookend sells them somewhere to stay, and you take a share of what Bookend earns on it. It costs you nothing, and you can switch it off whenever you like.
This agreement is between P1 Software LC, operating as Bookend ("Bookend"), and the Partner ("Partner"). It begins on the date Partner accepts it and continues until either party ends it under §9.
Partner displays a Bookend placement — a link, a hosted page at a Bookend address, or an embed script — to Partner's own audience. Where Partner puts it is Partner's choice; the order-confirmation or registration-complete step is where it earns most.
Partner will not alter the placement's destination, wrap it in another redirect, or present it as anything other than what it is. Partner keeps full control of its own site, ticketing and communications, and nothing here requires Partner to send any minimum volume or to place the link anywhere in particular.
Bookend builds and hosts the stays page for Partner's market at Bookend's cost, sources and verifies the accommodation shown on it, takes the booking, and handles the guest through to check-in. Bookend provides Partner with a statement of bookings and earnings.
Bookend does not own or operate the accommodation. Each stay is provided by the property owner or manager who lists it, under a separate agreement with Bookend.
Nothing. There is no setup fee, no subscription, no minimum, and no charge of any kind to Partner under this agreement. Bookend is paid only out of the bookings it produces.
A guest who books pays the property owner directly. The owner's card processor charges the guest, and the owner is the merchant of record for that sale.
Bookend is paid a fee out of that charge at the moment it is taken (the "Bookend Fee"). The Bookend Fee is the difference between the net rate Bookend agreed with the property owner and the price the guest paid.
Partner earns the share set out in your schedule on each booking that originates from Partner's placement (the "Partner Share"). The Partner Share is paid by Bookend out of the Bookend Fee, from Bookend's own funds. It is never taken from the property owner's proceeds, and Partner has no claim against the owner or the guest.
The Partner Share is a percentage of the Bookend Fee and moves with it: a booking that earns Bookend less earns Partner proportionately less. Bookend may change the rate for FUTURE bookings on 30 days' written notice; a rate change never applies to a booking already made.
A booking earns the Partner Share when the guest's stay has taken place. Bookend releases payment after check-out, on a weekly statement showing every booking attributed to Partner and what it earned. Stripe's payout run to Partner's bank is weekly, on Mondays.
Payment is made by transfer to Partner's own connected Stripe account. Partner must complete Stripe's onboarding to receive money; until it is complete, earnings accrue and are held rather than lost.
A booking that is cancelled, refunded, or charged back does not earn a Partner Share. Where a share has already been paid on a booking that is later reversed, Bookend may offset it against the next statement. Bookend will not claw back a paid share more than 180 days after the stay.
A booking is Partner's when it arrives through Partner's placement. Where a guest could be attributed to more than one partner, the placement they came through last before booking wins.
Bookend's records of attribution are the operative record, and Partner may query any statement within 60 days by writing to support@bookendpartners.com. Bookend will show its working.
Each party grants the other a limited, revocable, non-exclusive licence to use its name and logo solely to identify the relationship and to present the placement — for Bookend, to name Partner and its events on the stays page and in Bookend's materials; for Partner, to name Bookend where the placement appears.
Neither party acquires any other right in the other's marks, and either may withdraw this licence on written notice. Withdrawal does not end the agreement.
Either party may end this agreement at any time, for any reason, on written notice, with no fee or penalty. There is no minimum term and no lock-in.
Ending it does not undo bookings already made: Bookend will honour every booking taken before the end date, and Partner will be paid its share on those bookings on the normal schedule. Partner will remove the placement promptly once the agreement ends.
Bookend is responsible for the stays page, the booking process, and guest support. The property owner is responsible for the accommodation itself — its condition, access, and anything that happens during the stay. Partner is responsible only for displaying the placement.
Partner is not liable to Bookend, to any guest, or to any property owner for the stay, and Bookend will not name Partner in any guest dispute arising from it.
Neither party is liable to the other for indirect or consequential loss. Each party's total liability under this agreement is capped at the total Partner Share paid in the 12 months before the claim. Nothing here limits liability for fraud or for anything that cannot lawfully be limited.
Bookend handles guest data under its privacy policy at https://bookendpartners.com/privacy. Partner does not receive guest personal information through this agreement — Partner's statement reports bookings and earnings, not the people behind them.
Where Partner does pass Bookend contact details of its own audience, Partner confirms it is entitled to do so and Bookend will use them only to operate this arrangement.
This agreement is governed by the laws of the State of Georgia, and the parties submit to the courts of that state.
Partner is an independent contractor. Nothing here creates a partnership, joint venture, agency or employment relationship, and neither party may bind the other.
This document, together with any schedule naming the Partner Share, is the whole agreement between the parties on this subject. Changes must be in writing; Bookend may update this wording for future bookings on 30 days' notice, and the version accepted governs everything booked before that.
